1. Acceptance of Terms and Permitted Use

2. Accounts, Onboarding, and Bookings

  • You agree to provide true, accurate, current, and complete information when booking a consultation or entering into a service arrangement.
  • You are entirely responsible for maintaining the confidentiality of any access credentials provided to you.
  • JBAP Solutions reserves the right to refuse service, cancel bookings, or terminate accounts at our sole discretion, particularly under suspicion of fraudulent activity or non-compliance with these terms.

3. Payment Terms and Service Performance Warranties

Billing and Fees: Payment for automation and marketing services must be rendered in advance via our approved payment channels, unless otherwise specified in writing. Failure to clear outstanding invoices will result in the immediate suspension of system access and active pipelines.

Performance Guarantee (10 Appointments in 90 Days): JBAP Solutions offers a performance commitment guaranteeing a minimum generation of ten (10) qualified appointments within a ninety (90) day window of active service. If this baseline threshold is not achieved, the client may request a refund of service fees under the strict execution terms provided in their contract.

Guarantee Execution: The activation rules, technical cooperation requirements, specific lead qualification criteria, and exact refund protocols are governed exclusively by the private Service Level Agreement (SLA) executed between the parties prior to project launch.

Contractual Precedence: The terms laid out in your individual, signed private contract supersede any generalized performance descriptions found on this website. The guarantee remains strictly contingent on the client fulfilling all technical, asset-sharing, and operational cooperation duties detailed in said contract.

Refund Policy: Outside of the explicit criteria outlined in our contractually binding Performance Guarantee, all payments made to JBAP Solutions are strictly non-refundable due to the custom engineering and consultative allocation of marketing resources.

4. SMS, AI Voice Agents, and Mobile Messaging Terms (TCPA & FTSA Compliant)

Express Written Consent: By explicitly providing your phone number and submitting an inquiry via our website forms, contact mechanisms, or any integrated third-party lead generation infrastructure (such as Meta Lead Forms, Facebook Ads, or Instagram Ads), you acknowledge that this action constitutes an electronic signature under applicable law. You yield your express written consent to be contacted immediately by JBAP Solutions.

This automated outbound interaction may incorporate:

  • AI Voice Callers: Conversational interactive digital assistants acting as scheduling and qualification representatives.
  • Automated Telephony: Systems utilizing artificial voice modules, pre-recorded messages, or automated dialing parameter sequences.

You acknowledge that consent to receive these automated marketing or scheduling calls is completely voluntary and is not a condition of purchasing any goods or services from JBAP Solutions.

  • Message Frequency: The frequency of messages varies based on your interactions with our automated sales systems and active service requests.

5. Intellectual Property Rights

All digital content featured on this website—including but not limited to text, system workflows, custom scripts, graphics, logos, videos, and UI designs—is the exclusive intellectual property of JBAP Solutions or its licensors. It is protected under European and international copyright, trademark, and intellectual property treaties. No material may be reproduced, reverse-engineered, or modified without prior written consent.

6. Disclaimer of Warranties

Our website and generalized materials are provided on an "as-is" and "as-available" basis. Except for explicit performance guarantees outlined within a signed client contract, JBAP Solutions makes no representations or warranties of any kind, express or implied, regarding system uptime, error-free operations, or specific commercial outcomes.

7. Limitation of Liability

To the maximum extent permitted by applicable law, JBAP Solutions, its owners, and its operators shall not be liable for any indirect, incidental, special, exemplary, or consequential damages (including loss of profits, data, or business opportunities) arising out of the use or inability to use our systems. Our total liability for any certified claim shall not exceed the total amount paid by you to us for the specific service giving rise to the dispute.

8. Indemnification

You agree to defend, indemnify, and hold harmless JBAP Solutions, its legal representative (Joan Baptista Rovira Banet), and associates from and against any third-party claims, damages, losses, liabilities, costs, or legal expenses resulting from your misuse of our services, violation of these Terms, or infringement upon the rights of any third party.

9. Third-Party Integrations and Platform Policies

Our sales engines naturally integrate with third-party networks (such as Meta Platforms, WhatsApp Business API, and GoHighLevel). You acknowledge that your usage of these automated pipelines must also comply with the respective terms of service and acceptable use policies of those external networks.

10. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Spain. Any dispute, controversy, or claim arising out of or relating to these terms, our services, or web infrastructure shall be subject to the exclusive jurisdiction of the Courts and Tribunals of the municipality of Malgrat de Mar, Barcelona, Spain.
